Terms of Service

MessageLeads.net ("MessageLeads," "we," "us," or "our") provides a lead management platform accessible via a Chrome extension and web application (collectively, the "Service"). These Terms of Service ("Terms") constitute a legally binding agreement between you, the user ("User," "you," or "your"), whether as an individual or on behalf of an entity, and MessageLeads, governing your access to and use of the Service. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you are expressly prohibited from accessing or using the Service.

1. Acceptance of Terms

By accessing or using the Service, you agree to be legally bound by these Terms, which form a contractual relationship between you and MessageLeads, including its affiliates, successors, and assigns. These Terms govern your access to and interaction with the Service and supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.

MessageLeads reserves the right to amend these Terms at its sole discretion. Any amendments shall become effective immediately upon posting the revised Terms on the Service, with the updated "Effective Date" noted above.

Your continued use of the Service following such posting constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must immediately cease using the Service.

2. Description of the Service

The Service is a software-as-a-service (SaaS) platform designed to facilitate lead management by enabling Users to organize, categorize, and track leads through a color-coded CRM system within Messenger, with integrations to Google Sheets and Google Calendar for data synchronization and task management.

3. User Obligations and Compliance

3.1 General Obligations

You represent and warrant that you will use the Service in strict compliance with all applicable local, state, national, and international laws, statutes, regulations, and ordinances, including, but not limited to, data protection laws such as the General Data Protection Regulation (GDPR) (EU) and the California Consumer Privacy Act (CCPA). You shall be solely responsible for all activities conducted under your account and for ensuring the accuracy, legality, and appropriateness of any data you input into the Service.

3.2 Data Protection Compliance

You agree to ensure that any personal data entered into the Service, including lead information (e.g., names, email addresses), is collected, processed, and stored in accordance with applicable data protection laws. This includes obtaining necessary consents, providing required notices, and honoring data subject rights as mandated by GDPR, CCPA, or other relevant regulations.

3.3 Prohibited Conduct

You shall not:

  • Use the Service for any unlawful, fraudulent, or unauthorized purpose.
  • Upload, transmit, or store any content that is harmful, defamatory, obscene, or otherwise objectionable.
  • Attempt to gain unauthorized access to the Service, its systems, or networks, or interfere with its operation, including by introducing malware, viruses, or other malicious code.
  • Use the Service in a manner that infringes upon the rights of MessageLeads, other Users, or third parties, including intellectual property or privacy rights.
  • Engage in any activity that may cause harm, disruption, or reputational damage to MessageLeads, its Users, or third parties.
4. Refund Policy

MessageLeads strives to ensure User satisfaction with the Service and provides the following refund policy:

  • Refund Eligibility: Users may request a full refund within fourteen (14) days from the date of initial payment for the Service if the Service does not meet their expectations.
  • Refund Procedure: To request a refund, Users must contact our support team at support@messageleads.net within the aforementioned 14-day period, providing their account details and a brief explanation of the reason for the refund request. Refunds shall be processed within five (5) to ten (10) business days and credited to the original payment method.
  • Non-Refundable Circumstances: No refunds shall be issued after the 14-day refund period, including for subscription renewals, upgrades, or additional services purchased subsequent to the initial subscription.
  • Subscription Cancellation: Users may terminate their subscription at any time by contacting support@messageleads.net. Termination shall take effect at the conclusion of the current billing cycle, and no further charges shall be incurred.
5. Intellectual Property Rights

All content, software, designs, trademarks, and other materials available on or through the Service, including but not limited to text, graphics, and code (collectively, the "Content"), are the exclusive property of MessageLeads or its licensors and are protected by copyright, trademark, and other intellectual property laws. Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Content solely for the purpose of utilizing the Service in accordance with these Terms. You shall not reproduce, distribute, modify, create derivative works of, or otherwise exploit the Content without prior written consent from MessageLeads.

6. Prohibited Activities

You covenant and agree not to:

  • Utilize the Service for any illegal, fraudulent, or unauthorized purpose in violation of applicable law.
  • Transmit or store any content that is unlawful, defamatory, obscene, or otherwise objectionable.
  • Attempt to gain unauthorized access to the Service, its systems, networks, or data, or engage in any activity that disrupts, diminishes the quality of, or interferes with the performance of the Service, including the introduction of malicious code, viruses, or similar harmful materials.
  • Infringe upon or violate the intellectual property, privacy, or other rights of MessageLeads, other Users, or third parties.
  • Engage in any conduct that may cause harm, disruption, or reputational damage to MessageLeads, its Users, or third parties.
7. Termination of Service

MessageLeads reserves the right, at its sole discretion, to suspend or terminate your access to the Service, with or without prior notice, if it reasonably believes that you have breached these Terms or engaged in conduct that may harm MessageLeads, its Users, or third parties. Upon termination, your right to access and use the Service shall immediately cease, and MessageLeads shall not be obligated to provide any refunds for fees paid.

8. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, accessible at messageleads.net/privacy-policy, which details our practices regarding the collection, use, and protection of your personal data. By using the Service, you consent to such practices and acknowledge that we comply with applicable data protection laws, including the GDPR and CCPA. Any personal data entered into the Service shall be processed solely for lead management purposes and not for marketing or promotional activities.

9. Third-Party Integrations

The Service integrates with third-party platforms, such as Google Sheets and Google Calendar, to facilitate lead management functionalities. MessageLeads shall not be liable for the performance, availability, or data practices of such third-party services. You agree to comply with the terms of service of any third-party platforms utilized in connection with the Service and acknowledge that your use of such third-party services is at your own risk.

10. Limitation of Liability

To the fullest extent permitted by applicable law, MessageLeads, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if advised of the possibility of such damages. The aggregate liability of MessageLeads for any claim arising under these Terms or the Service shall not exceed the total amount paid by you to MessageLeads for the Service in the twelve (12) months immediately preceding the event giving rise to such claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless MessageLeads, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any rights of MessageLeads, other Users, or third parties, including intellectual property or privacy rights.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration conducted in Delaware, in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted by a single arbitrator, and the decision of the arbitrator shall be final and binding. You hereby waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Compliance with Applicable Policies

MessageLeads adheres to Paddle’s Acceptable Use Policy and Buyer Terms, ensuring that the Service is not utilized for marketing, promotional activities, or any practices deemed deceptive or unlawful. We comply with applicable data protection and privacy regulations to safeguard User data and maintain operational integrity.
